Two things live on this page. The first part covers using this website. The second covers the shape every engagement takes, which is written down here so nothing on it is a surprise later.
Each engagement also gets its own written scope. Where that scope and this page disagree, the scope wins.
Using this website
This site is published by Jadamedo Consulting Ltd, trading as M.A.S Works, registered office Russell Chambers, Keighley BD21 3DS.
Everything on it is provided for information. The scorecards are self-assessments rather than advice, and a score is not a valuation, a diagnosis or a recommendation to do anything in particular. Nothing here creates a professional relationship until there is a signed scope.
Scope of an engagement
Before any paid work starts you get a written scope covering what is included, what is not, what it costs, how long it runs and who owns what. Nothing outside that scope gets done and billed without you agreeing to it first.
Consultancy depends on what the business tells us. Where the information provided turns out to be incomplete or wrong, findings based on it may need revisiting, and we will say so rather than let it stand.
Payment
- All prices exclude VAT.
- The 90-Day Operational Review is £2,850, paid as three monthly instalments of £950, the first before work starts.
- Monthly retainers are invoiced at the start of the month they cover.
- Day-rate and hourly work is invoiced monthly in arrears.
- Invoices are payable within fourteen days.
Late payment carries interest and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. In practice we would rather ring you than invoke it.
Cancellation and notice
- Monthly retainers run rolling with a three-month minimum, then one month's notice either way.
- Booked days cancelled with less than five working days' notice may be charged, because that day is rarely refillable.
- The 90-Day Operational Review can be stopped at any point. You pay for the visits completed and keep every output produced up to then.
- Toolkit purchases are licences to editable files, so they are not refundable once the files have been sent.
Who owns what
You own the output. Process maps, audit reports, action plans, automation specifications, policies and templates produced for your business are yours, in editable form, along with the data in them.
What stays ours is the underlying method and the blank templates the work is built on: the seven-stage framework, the RAG diagnostic, the scorecards and the toolkit documents in their unfilled form. You get a perpetual licence to use those inside your own business. You do not get to resell them as a product.
Confidentiality
Everything learned about your business stays confidential, during the engagement and after it. Nothing gets published as a case study without your written agreement, and where a client would rather not be named, they are not named.
The same runs the other way. Anything shared about how the work is done, including the templates and the frameworks, stays between us.
Liability
We carry professional indemnity and public liability insurance, and details are available on request.
Our total liability for any engagement is limited to the fees paid for it. We are not liable for indirect or consequential loss, or for lost profit, and advice is given on the understanding that the decisions remain yours. Nothing here limits liability for death or personal injury caused by negligence, or for fraud, because it cannot be.
Subcontracting
Some engagements need specialists we do not employ, in tax, law, broking or a technical build. Where that happens we say so before anyone is engaged, and you decide whether they come in under our contract or your own.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
